Our office also handles all the legal requirements that go with the internal life of a business (establishing and drafting powers of attorney, signature, agreement on cash flow, etc.) and that of its shareholders (establishing and drafting shareholder pacts, associates’ current account agreements, etc.). We also handle disputes between shareholders (failure to comply with voting arrangements, litigation in connection with a regulated agreement, abuse of minority or majority, management expertise, capital reduction immediately followed by share capital increase, etc.) or between vendors and purchasers of company shares (dispute regarding sale price and the performance of an earn out clause, fraud or fraudulent non-disclosure by the transferor, etc.).

In these cases, as well as the purely legal aspects, the economic and operational issues are systematically weighed up with the client, and before any procedure is initiated, we seek to secure an amicable settlement.

Thanks to its cooperation with foreign member firms of Cyrus Ross International, Derriennic Associates can process cross-border operations and transactions.

Moreover, we specialise in advising companies in their debut on capital markets (whether regulated or not) in France, and in accompanying foreign businesses in establishing themselves in France and making acquisitions (particularly multimedia package publishers and so on).

Derriennic Associates also takes part in due diligence operations, particularly in areas where the market acknowledges its outstanding expertise, namely in the fields of new technologies (i.e. intellectual property law applied to new technologies, complex contracts, and aspects of social legislation in the relevant field). Derriennic Associates is also partners with other law firms which deal in the same fields, and major international groups which hire the team to deal with such special matters.
