Our office handles all legal matters related to the internal functioning of a company, including powers of attorney, signature authorizations, and cash-flow agreements, as well as shareholder matters such as shareholder agreements and current account agreements. We also manage disputes between shareholders (e.g., non-compliance with voting agreements, litigation concerning regulated agreements, minority or majority abuses, management expertise, capital reduction followed by immediate share capital increase) or between sellers and buyers of company shares (e.g., disputes over sale price, earn-out clause performance, fraud, or fraudulent non-disclosure by the transferor).
In these cases, we always consider both legal and operational issues with the client, and seek amicable settlements before initiating formal procedures.
Through our cooperation with foreign member firms of Cyrus Ross International, Derriennic Associés is able to handle cross-border operations and transactions.
We also specialise in advising companies on their entry into capital markets—whether regulated or unregulated—in France, and in assisting foreign companies with establishing operations and making acquisitions in France, particularly in the multimedia sector.
